These Terms of Service ("Terms") govern your use of tsap.agency (the "Website") and any services provided by TSAP ("TSAP", "we", "us"). By using the Website or engaging our services, you agree to these Terms. If you do not agree, please do not use the Website.
1. About us
TSAP is a visual communications agency operated by LLC "TSAP - Visual Communication Boutique" (ТОВ «ЦАП — Агенція Візуальних Комунікацій»), registered in Ukraine, EDRPOU code 46114262. We design communications for government bodies, the defence sector, international organisations and their partners: presentations, reports, event identity, brand systems and public-facing materials.
These Terms apply to all Website visitors and to anyone who contacts us about our services.
2. Use of the Website
You agree to use the Website lawfully. You must not:
attempt to access restricted areas, systems or data;
copy, scrape or republish Website content without our written consent;
interfere with the Website's operation or security.
We may restrict access to the Website at any time.
3. Intellectual property and portfolio
All Website content, including text, graphics, layouts, the TSAP name and logo, belongs to TSAP or is used with permission. You may not reproduce, distribute or modify it without our written consent.
Work shown in our portfolio is presented with the consent of the respective clients or in an anonymised form. Rights to that work belong to TSAP or to the clients, as set out in the relevant agreements. Appearance in our portfolio does not imply that any client endorses third parties.
4. Engagements
Every project is governed by a separate written agreement, proposal or statement of work. It sets out the scope, timeline, deliverables, fees, transfer of intellectual property, confidentiality obligations and termination conditions.
If such an agreement conflicts with these Terms, the agreement prevails. Nothing on the Website constitutes a binding offer.
5. Fees and payment
Fees, currency, invoicing schedule and payment terms are set out in each project agreement. Unless agreed otherwise:
invoices are payable within 14 days of issue;
TSAP may pause work if payment is overdue;
rights to deliverables pass to the client after full payment.
6. Confidentiality and sensitive information
We work with information that is often non-public, time-sensitive or security-related. We treat all non-public client information as confidential by default, whether or not an NDA is signed.
Client materials are shared only with team members and contractors directly involved in the project, each bound by confidentiality obligations.
We do not disclose client information to third parties without consent, unless required by law.
We do not show confidential work in our portfolio or public channels without the client's approval.
On request, we sign the client's NDA and follow its data-handling and security requirements.
Please do not send classified or restricted information through the Website contact form or email. If a project involves such information, tell us first and we will agree a secure channel.
7. Third-party services
We use third-party tools to operate the Website and deliver our work (for example, website hosting, design software, file sharing and video calls). Their use is subject to their own terms and privacy policies. TSAP is not responsible for outages, errors or breaches of third-party services.
8. Disclaimer and limitation of liability
The Website is provided "as is". We do not guarantee that it will be uninterrupted or error-free, and its content is for general information only.
To the extent permitted by law, TSAP is not liable for indirect or consequential losses, loss of data or business interruption arising from use of the Website. Liability for project work is governed by the relevant agreement.
9. Termination
We may suspend or restrict access to the Website at any time. Termination of project work is governed by the relevant agreement.
10. Governing law
These Terms are governed by the laws of Ukraine. Disputes are resolved by negotiation first and, failing that, by the competent courts of Ukraine, unless a project agreement provides otherwise.
11. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date at the top shows the latest version. Continued use of the Website after changes means you accept them.
